Overview:

BD's Corporate Development and Strategy Department has responsibility for supporting the development and execution of both short- and long-term growth strategies of the Company both directly and through partnering with BD’s worldwide business units and regions.  Individuals in the Department identify, evaluate, value, structure and negotiate business opportunities including acquisitions, divestitures, strategic alliances and equity investments.  The Department supports the executive Corporate Development Steering Team in investment portfolio decision making by acting as an objective advisor regarding the strategic fit, valuation, and structuring of various opportunities.  The Department is also responsible for developing and maintaining “best-in-class” practices around valuation modeling and transactional, diligence and integration & separation processes. Individuals in the Department are expected to provide overall project / deal management and to be able to partner effectively across BD.  Finally, the Department is responsible for BD’s annual strategic review process and for shaping and articulating BD’s corporate strategy.

Responsibilities:

  • Serve as day-to-day lead across all aspects of the transaction process.
  • Work in close partnership with business unit leadership to development investment theses for potential acquisitions and create detailed operating models in order to stress test key assumptions.
  • Create financial analyses, including discounted cash flow, merger consequences and investment returns for potential transactions.
  • Lead the development and execution of transactional plans.
  • Identify deal risks and work with business unit and functional leaders to assess and devise solutions.
  • Lead, organize and motivate deal teams comprised of both internal associates and external advisor relationships (investment banks, law firms, industry consultants, accounting firms).
  • Provide project and M&A process management expertise, leadership and discipline to cross-functional team members.
  • Present findings to senior management and BD’s investment committee.
  • Lead special projects relating portfolio evaluation, transformational M&A analysis, and building and optimizing department standardized analytical templates.
  • Build partnerships with business units, regional representatives and functions to enhance overall transactional process and understand strategic priorities.
  • Train and mentor Corporate Development team members.

Qualifications:

  • B.A. or B.S. degree with demonstrated quantitative and strategic thinking aptitude. M.B.A. or equivalent degree preferred. Intellectual acuity and strong analytical skills required.
  • Minimum of ten years of experience, preferably in investment banking or corporate development. Experience in the life sciences, medical or health care industry is preferred.
  • Exceptional corporate finance and modeling skills.
  • Ability to independently create ad hoc financial analyses.
  • Excellent communication and facilitation skills to drive process-driven discussions, meetings and workshops with peer and senior level stakeholders.
  • Broad exposure to and strong understanding of typical M&A processes including strategic evaluation, due diligence, and close (Day 1) activities and their impact on post close integration or divestiture planning. 
  • Proven track record of leading deal teams and developing consensus in functionally diverse groups.
  • Experience training and mentoring junior team members.
  • Extensive deal and project management experience.
  • Strong capabilities in understanding, structuring and negotiating complex transaction documents.
  • Excellent written and oral communications skills.
