Job Description

The Senior Manager, Data Rights position will oversee the determination of our rights to use data and assist in privacy and product security issues.  This position will assist the business in strategic goals around product development and customer agreements. This position will influence product development projects as well as assist with completing their portion (e.g. BAAs, ITSR, etc.) of sales agreements.

  • Perform data rights analyses through a review of a customer’s MSA, BAA, and Information Security Agreement.  The Data Rights Manager would review the customer contract landscape and interpret the language to determine what customers allow BD to do with their data. Additionally, the Data Rights Manager would populate the Customer Data Rights Management application with new data and continue to maintain the application moving forward. 
  • Maintain database of data rights.  Analyze and improve process for maintaining such data as well as underlying agreements.
  • Draft, review, revise, and negotiate Business Associate Agreements, Interconnection Security Agreements and Product Security Questionnaires.  Consult subject matter experts as needed.
  • Review, revise and negotiate Data Use Agreements.  Strive to maintain consistency in our position.  Advise business on data rights.
  • Analyze requests to use data and determine allowable uses.


Education & Experience

  • Bachelor's degree with 5 years minimum experience in a similar role or as a paralegal, or a J.D. with 3 years in a similar role, both in the Healthcare or Medtech industries.
  • Possess deep knowledge of business contracts (BAA, etc.), contract review, negotiation and administration, and experience in dispute resolution and procedures.

Knowledge, Skills & Abilities

  • Must be a collaborative leader who is a strong communicator and team player. Must have demonstrated the ability to successfully work in a complex matrix environment where the ability to influence others is key.
  • Proficiency with MS office tools (Word, Outlook, PowerPoint), with superior Excel proficiency (pivot tables, VLOOKUP’s, macros, access).
  • Knowledge of HIPAA and privacy laws.
  • Demonstrated experience maintaining databases strongly preferred.
  • Ability to review, negotiate, and redline legal agreements at level of a senior paralegal or junior attorney. 
  • Strong analytical and organizational skills, and attention to detail.
  • Good interpersonal skills.
  • Must be customer focused and possess the ability to identify issues and develop solutions to a variety of problems of diverse scope and complexity.
  • Strong verbal and written communication skills to accurately document, report, and present information at all levels of the organization, internal and external, and advise on data use rights matters.
  • Ability to exercise sound business judgment and discretion is critical.
  • Ability to initiate, plan, and manage projects.
