The Manager, Corporate Development IMO (Integration Management Office) will play a critical role in the successful integration and separation of acquired or divested businesses within BD. Job Responsibilities
Pre‑Sign Leadership
Drive cross-functional pre-sign planning and coordination, ensuring all functional teams (e.g., HR, IT, Finance, Supply Chain, Commercial, R&D) are aligned on diligence needs, risks, and requirements.
Support and facilitate operational due diligence across functions, consolidating findings, risks, and value‑creation opportunities for Corporate Development and executive stakeholders.
Lead the development of entanglement analyses to assess operational, technical, and commercial interdependencies between BD and target companies.
Partner with Legal, Finance, Operations, and functional SMEs to develop Transition Services Agreement (TSA) scopes, service definitions, cost estimates, and risk mitigation considerations.
Support pre-sign integration and/or separation hypothesis development, Day 1 requirements, and preliminary synergy and cost‑to‑achieve assessments.
Integration & Separation Planning
Develop, maintain, and execute detailed integration or separation project plans, including timelines, milestones, dependencies, and resource needs.
Collaborate with cross-functional teams to ensure seamless coordination, alignment, and timely execution of integration or separation activities.
Facilitate functional workstream meetings; track progress, identify risks or issues, and drive timely mitigation plans.
Day 1 & Post‑Close Execution
Lead and support readiness planning to ensure operational continuity and compliance on Day 1.
Coordinate execution of Day 1 activities and monitor stability during the initial post‑close period.
Support implementation of TSA services and partner with functional owners to track service delivery, performance, and exit planning.
Program Governance & Reporting
Develop and present clear integration/separation status updates, dashboards, and executive-level reports.
Support synergy and cost‑to‑achieve tracking, including development of KPIs, progress measurement, and variance analysis.
Maintain and enhance BD’s integration management playbooks, tools, templates, and best practices.
Continuous Improvement
Identify opportunities to improve BD’s integration and separation methodology, tools, and cross-functional ways of working.
Contribute to the evolution of BD’s M&A capabilities by applying lessons learned and industry best practices.
Minimum Requirements:
- Bachelor's degree in Business Administration, Finance, Economics, Engineering, or related field
- 7-10+ years of experience in M&A integration, corporate development, project management, product development, consulting, or related fields
- Healthcare or life sciences experience
- Understanding of the full M&A lifecycle (diligence, integration planning, post-close execution)
- Experience with Transition Services Agreements (TSAs)
- Ability to manage complex, cross-functional projects with multiple stakeholders
- Communication, facilitation, and stakeholder management skills
- Analytical, financial, and problem-solving skills
- Data-driven mindset
- Proficiency with project management tools and Microsoft Office Suite
- Ability to operate in fast-paced environments
- Willingness to travel up to 20-30%
Preferred Qualifications:
- Master's degree or higher
- Experience with synergy tracking and cost-to-achieve assessments
- Experience developing integration/separation project plans
- Experience with Day 1 readiness planning and execution
- Ability to influence at all organizational levels
- Experience with integration management playbooks and best practices
